TERMSOF SERVICE

These Terms of Service (the 'Agreement') set forth the termsand conditions that apply to your use of the Web site located at / andthe services and materials offered thereon (the "Service") which areoffered to you by National Broadcasting Company, Inc. ("NBC"). BY USINGTHIS SITE, YOU AGREE TO THE TERMS OF THIS AGREEMENT JUST AS IF YOU HADSIGNED IT. If you do not agree to be bound by this Agreement, pleasediscontinue your use of the Service.

1.Restrictions on Use

The Service is a computer online service. It is accessible toyou through a personal computer, or other access device at www.nbc.com(the "NBC Site") using a communications connection (e.g., modem andtelephone line). As part of the Service, you will be provided withservices that may include information, editorial content, chat rooms,links to other Web sites and other computer services that NBC maydecide to offer, subject to the terms hereof. NBC may, in its solediscretion, discontinue or alter any aspect of the Service, including,but not limited to,

restricting the time of availability,restricting theavailability and/or scope of the Service for certain platforms (i.e.,computer types and operating systems), restricting the amount of usepermitted, and restricting or terminating any User's right to use allor part of the Service, at any time in NBC's sole discretion andwithout prior notice or liability. You are responsible for all charges(e.g., telephone) associated with connecting to the Service through anavailable access number. You are also responsible for obtaining orproviding all telephone access lines, telephone and computer equipment(including modem), or other access device, necessary to access theService. You certify that you are an individual (i.e., not acorporation). The Service is owned and operated by NBC and itsaffiliated companies and contains material that is derived in whole orin part from material supplied and owned by NBC and other sources. Suchmaterial is protected by copyright, trademark, and other applicablelaws. You may not modify, copy, reproduce, republish, upload, post,transmit, publicly display, prepare derivative works based on, ordistribute in any way any material from the Service, including but notlimited to code and software ("Material"). You may, however, downloadMaterial from the Service for your personal, non-commercial use only,provided you keep intact all copyright and other proprietary noticesand use the Material in accordance with all restrictions applicable toyour use if the Service in general. In the event that you downloadMaterial from the Service, such Material is licensed to you by NBC andNBC does not transfer title to any such Material to you.

Membership Rules and Guidelines

a. Registration

Should NBC choose to provide member based services, when youregister to use these Services, you will be required to provide certaininformation about yourself. You agree to provide true, accurate andcomplete information about yourself, and to update this informationwhen it changes. If you provide any information that is untrue orinaccurate, not current, or incomplete, or if NBC suspects that yourinformation is untrue or inaccurate, not current, or incomplete, NBCmay, in its sole discretion, suspend or terminate your membership andrefuse current or future access to the Service. Any personalinformation supplied hereunder will be subject to the terms of ourprivacy policy. Members under the age of 18 must have parental consentbefore joining NBC, and children under the age of 13 may not registerwith NBC. The Service is currently provided for free. NBC reserves theright to change the nature of this relationship at any time.

b. Passwords

Should NBC provide to you a password that allows you to accesscertain parts of the Service, you will be solely responsible formaintaining the confidentiality of the password and your accountinformation, and are fully responsible for all activities that occurunder your password oraccount. You agree that you will immediately notify NBC of anyunauthorized use of your password or account, or any other breach ofsecurity, and that you will log off of the Service at the end of eachsession to prevent fraud on your account by third parties.

c.General

NBC may choose to send you e-mail newsletters on a variety oftopics - for example, informing you of membership benefits andfeatures, letting you know of problems with the site or with servicesoffered by NBC, or presenting you with the opportunity to buy selectedproducts and services. You may elect during registration not to receivethese e-mail newsletters, and you may start or stop receiving suche-mail newsletters at any time by sending an e-mail to an address thatshall be designated for that purpose. With your permission, NBC maysend you e-mails on behalf of pre-screened third parties containingpromotional offers or opportunities that we believe may be of interestto you. You may elect during registration to receive these e-mails, andyou may start or stop receiving such e-mails at any time by sending ane-mail to an account that shall be designated for thatpurpose.

d. Rules for Use of theService

Conduct Required for Use of the ServiceIt is a condition of your use of the Service that you do not: restrictor inhibit any other user from using and enjoying the Service;post ortransmit any unlawful, threatening, abusive, libelous, defamatory,obscene, vulgar, pornographic, profane or indecent information of anykind, including without limitation, any images or other materialdepicting Nudity as herein defined; post or transmit commentscontaining harassing or offensive language, including sexualreferences, sexual nicknames, racial slurs, hate propaganda, hatemongering, swearing, or rude or deliberately offensive comments, orengage in disruptive activities online, including excessive use ofscripts, sound waves, scrolling (repeating the same message over andover), or use of viruses, bots, worms or trojan horses;post or transmitany information, software or other material that is fraudulent orviolates or infringes the rights of others, including material thatviolates privacy or publicity rights, or infringes copyright, trademarkor other proprietary rights, without first obtaining permission fromthe owner or right holder, including WAREZ (copyrighted materialdistributed without permission);post or transmit any information,software or other material that contains a virus or other harmfulcomponent;post or transmit content that encourages or providesinstructional activities about illegal activities, in particularhacking, cracking or phreaking;post, transmit or in any way exploit anyinformation, software or other material for commercial purposes or thatcontains advertising, "junk mail," "spam," or "chain letters"; solicitother users to join, become members of, or contribute money to anyonline service or other organization, advocate or attempt to get usersto join in legal or illegal schemes or plan or participate in scamsinvolving other users; impersonate any person or entity or falselystate or otherwise misrepresent your professional or other affiliationwith any person or entity;resell, redistribute, broadcast or transferthe information or use the information derived from the Service in asearchable, machine-readable database;use the Service to collectpersonally identifying information about users of the Service inviolation of our Privacy Policy;disguise a file type to thwart NBC'sdetection processes;post or transmit any transmissions constituting orencouraging conduct that would constitute a criminal offense, give riseto civil liability or otherwise violate any local, state, national orinternational law; submit to the Live Directory multiple web sites withdifferent URLs that re-direct a user to one web page; submit to LiveDirectory more than one URL for a single category; update LiveDirectory listings with intent to distort or misrepresent them,including but not limited to changing titles of the entries,descriptions of the entries, URLs, or keywords, or attempt to gainunauthorized access to other computer systemsor networks connected tothe Service. For the purposes of this Agreement, "Nudity" shallinclude, without limitation, images depicting persons with unclothedgenitalia or persons wearing transparent clothing over genitalia. Youagree that you will not use the Service, including the informationprovided therein and all related equipment, networks and networkdevices (specifically including Internet access) for any unlawfulpurpose. NBC, at its sole and absolute discretion, shall determinewhether any information transmitted or received violates thisprovision. You may not use any Material in connection with any site orother use that contains or is associated with information or contentprohibited by this section.

Monitoring

NBC has no obligation to monitor the use of the Service bymembers. You acknowledge and agree that NBC reserves the right to, andmay from time to time, monitor any and all information transmitted orreceived through the Service for operational and other purposes. Duringmonitoring, information may be examined, recorded, copied, and used forauthorized purposes in accordance with our Privacy Policy. Use of theService constitutes consent to such monitoring. Furthermore, NBCreserves the right at all times to disclose any information posted onany portion of the Service as necessary to satisfy any law, regulationor governmental request, or to refuse to post, or to remove, anyinformation or materials, in whole or in part, that in NBC's sole andabsolute discretion are objectionable or in violation of thisAgreement.

License

By uploading files, inputting data, or engaging in any otherform of communication (a "Communication") through the Service you aregranting NBC a royalty-free, irrevocable, perpetual, non-exclusive,unrestricted, worldwide license to (i) use, copy, sublicense, adapt,transmit, publicly perform, display, or create derivative works fromany such Communication, and (ii) sublicense to third parties theunrestricted right to exercise any of the foregoing rights granted withrespect to such Communication. No Communication shall be subject to anyobligation of confidence on the part of NBC.

Content on theService.

Communications posted through the Service are provided byusers such as you who are unaffiliated with NBC, and the user providingeach such Communication is solely responsible for the content thereof.This means that you, and not NBC, are entirely responsible for allCommunications that you upload, post, email or otherwise transmit viathe Service. In using the Service or receiving e-mail messages frommembers through the Service, you should not assume that such messageshave been reviewed by NBC, that such communications contain correctinformation, or that the persons posting such Communications haveaccurately identified themselves and/or their affiliation with anythird party. You understand that by using the Service, you may beexposed to Communications that are offensive, indecent, orobjectionable. Under no circumstances will NBC be liable in any way forany Communication, including, but not limited to, liability for anyerrors or omissions in any Communication, or for any loss or damage ofany kind incurred as a result of the use of any Communication posted,e-mailed, or otherwise transmitted via the Service.

Personal Safety.

When using the Service, please be certain that anything yousay does not compromise your personal safety. Do not provide your name,phone number, postal or e-mail address, your password, or any otherpersonally identifying information to people you do not know.
